These Terms of Service (“Terms”) govern your access to and use of the website and the Torchrunner platform (the “Service”) provided by Torchrunner, Inc., a Delaware corporation (“Torchrunner,” “we,” “us”). By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you agree on its behalf and represent that you have authority to do so.
Accounts
You must provide accurate information when you apply for or create an account, and you are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly of any unauthorized use.
Founding Operator Cohort and early access
The Service is offered to a limited Founding Operator Cohort during a pre-launch and early-access period. Features may change, and aspects of the Service are provided on an evolving basis. Pricing offered to cohort members applies as described at the time of acceptance.
Acceptable use
You agree not to:
- Use the Service in violation of any law or the rights of others.
- Upload malicious code or attempt to breach, probe, or disrupt the Service or its security or tenant isolation.
- Reverse engineer, resell, or provide the Service to third parties except as expressly permitted.
- Use connected email, calendar, or messaging integrations to send unlawful, deceptive, or unsolicited bulk communications.
Your data and content
You retain all rights to the data and content you submit to the Service (“Customer Data”). You grant us a limited license to host, process, and transmit Customer Data solely to provide and improve the Service for you, including powering AI features within your workspace. Our handling of personal information is described in our Privacy Policy.
Third-party services
The Service integrates with third-party services such as Google, Microsoft, and payment and infrastructure providers. Your use of those services is subject to their own terms, and we are not responsible for third-party services.
Fees
Where the Service is offered for a fee, you agree to pay the fees applicable to your plan. Unless stated otherwise, fees are non-refundable and exclusive of taxes, which are your responsibility.
Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. AI outputs may be inaccurate or incomplete, and you are responsible for reviewing them before relying on them. Torchrunner is not a provider of legal, tax, accounting, or financial advice.
Limitation of liability
To the fullest extent permitted by law, Torchrunner will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability arising out of or relating to the Service will not exceed the greater of the amounts you paid us in the twelve months before the claim or one hundred U.S. dollars.
Termination
You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or to protect the Service. On termination, your right to use the Service ends, and you may export Customer Data as described in our Privacy Policy.
Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the date above. Your continued use of the Service after an update means you accept the revised Terms.
